1. Marketplace Disclaimer
ImmediateRide.com is a technology marketplace that connects independent ride providers with passengers. ImmediateRide does not own transportation vehicles, does not employ ride providers, does not directly provide transportation services, is not a taxi company, limousine operator, bus company, shuttle operator, or transportation carrier, and does not control how providers perform transportation services after a booking has been accepted. Transportation services are provided solely by independent ride providers.

1A. Company / Legal Entity
ImmediateRide.com is legally owned, operated, and controlled by 2-Nice Rideshare & Carpooling Transport Services Inc., a corporation registered in Manitoba, Canada. All references in these Terms & Conditions to "ImmediateRide," "we," "us," "our," or the "platform" shall be taken to mean 2-Nice Rideshare & Carpooling Transport Services Inc., its successors, and assigns. By using ImmediateRide.com, you are entering into a legally binding contract with 2-Nice Rideshare & Carpooling Transport Services Inc. as the contracting party. The registered address is 635 St. James Street, Winnipeg, MB R3G 3R4, Canada. Legal correspondence should be directed to legal@immediateride.com.
2. Acceptance of these Terms
By using ImmediateRide.com, you confirm that you: have legal capacity to enter into this agreement, are providing accurate information, will comply with applicable laws, and will comply with all ImmediateRide policies.
3. User Accounts
Users may register as a passenger or ride provider. Users agree to: maintain accurate information, protect login credentials, keep account information updated, and immediately report unauthorized access. Multiple fraudulent accounts are prohibited.
4. Fair Marketplace Principles
ImmediateRide operates on principles of: transparency, fairness, safety, accountability, privacy, and mutual respect. Every user is expected to uphold these principles.
5. Fair Fare Agreement
ImmediateRide operates a negotiated pricing marketplace. Passengers and ride providers determine the transportation fare together before booking confirmation. ImmediateRide does not set transportation prices. Passengers always receive a transparent booking summary showing: agreed transportation fare, ImmediateRide Platform Service Fee, and total payable amount.
6. Booking Process
A booking becomes confirmed only after: (1) passenger selects a ride, (2) passenger and provider mutually agree on the transportation fare, (3) ImmediateRide validates the booking, and (4) passenger completes secure online payment. No transportation agreement exists until payment is completed.
7. Payments
Payments must be made through ImmediateRide's approved payment systems. Supported payment methods may include: credit cards, debit cards, Stripe, PayPal, Apple Pay, and Google Pay. Cash payments for bookings initiated through ImmediateRide are prohibited.
8. Platform Service Fee
ImmediateRide charges a clearly disclosed Platform Service Fee for: maintaining the marketplace, booking technology, secure payment processing, customer support, safety systems, GPS services, communication tools, and platform development. The Platform Service Fee is displayed before payment.
9. Provider Payouts
Ride providers are paid after: ride completion, completion confirmation, and payment verification. ImmediateRide may temporarily delay payouts where: fraud is suspected, a dispute is opened, a payment chargeback occurs, or additional verification is required.
10. User Conduct
Users must: be respectful, communicate honestly, follow applicable laws, respect other users, and use the platform in good faith. Users must not: harass others, threaten others, discriminate, misrepresent themselves, commit fraud, or manipulate bookings.

11. Prohibited Activities
The following are prohibited: fake bookings, fake accounts, identity theft, false reviews, payment fraud, booking manipulation, vehicle misrepresentation, misleading advertisements, illegal transportation services, and criminal activity.
12. Off-Platform Transactions
ImmediateRide exists to provide a secure marketplace. Users must not: request cash payments, share payment links, encourage off-platform bookings, or circumvent ImmediateRide's payment system.
13. Privacy Protection
ImmediateRide protects user privacy through: masked messaging, masked calling, secure file sharing, and protected personal information. Users must not misuse information obtained through the platform.
14. Ride Completion
A ride is considered completed when the passenger confirms completion and the provider confirms completion. GPS data may assist in verifying completion where necessary.
15. Reviews & Ratings
After completed rides, passengers may review providers and providers may review passengers. Reviews must: be truthful, be respectful, and reflect genuine experiences. Manipulated or abusive reviews may be removed.
16. Safety
ImmediateRide provides technology to support safer transportation, including: GPS ride tracking, SOS emergency feature, emergency contact sharing, user reporting, and secure communication. Users remain responsible for their own conduct and safety decisions.
17. Intellectual Property
All content on ImmediateRide.com, including: logo, branding, graphics, software, design, text, and databases, is owned by or licensed to ImmediateRide unless otherwise stated. Users may not reproduce, copy, modify, distribute, or exploit platform content without prior written permission.
18. Suspension & Termination
ImmediateRide may suspend or terminate accounts where users: violate these Terms, commit fraud, endanger safety, abuse the platform, or engage in illegal conduct.
19. Limitation of Liability
To the fullest extent permitted by law, ImmediateRide is not liable for: transportation delays, traffic conditions, provider conduct, passenger conduct, vehicle condition, personal injury, property damage, lost profits, or indirect or consequential losses arising from transportation services provided by independent ride providers. Nothing in these Terms limits liability where such limitation is prohibited by law.
20. Indemnification
Users agree to indemnify and hold harmless ImmediateRide, its directors, officers, employees, affiliates, and partners from claims, losses, liabilities, damages, costs, and expenses arising from: their use of the platform, their breach of these Terms, their violation of applicable laws, and their transportation activities.
21. Force Majeure
ImmediateRide shall not be responsible for delays or failures caused by events beyond its reasonable control, including: natural disasters, government actions, internet outages, war, civil unrest, pandemics, severe weather, and power failures.
22. Governing Law
These Terms shall be governed by the laws applicable in the jurisdiction identified in ImmediateRide.com's legal notices, unless mandatory local consumer protection laws require otherwise.
23. Changes to these Terms
ImmediateRide may update these Terms periodically. Material changes will be published on this page. Continued use of the platform after updates become effective constitutes acceptance of the revised Terms.
