1. About ImmediateRide
ImmediateRide.com is a global technology marketplace that connects passengers with independent ride providers. ImmediateRide does not own transportation vehicles, does not employ ride providers, does not operate transportation services, and does not act as a transportation carrier.
1A. Legal Entity & Counterparty
This Ride Provider Agreement is a legally binding contract between you (the Ride Provider) and 2-Nice Rideshare & Carpooling Transport Services Inc., a corporation registered in Manitoba, Canada. The company's registered address is 635 St. James Street, Winnipeg, MB R3G 3R4, Canada. Legal correspondence: legal@immediateride.com.
2. Eligibility
To register as a Ride Provider, you must: be legally capable of entering into a binding contract, meet the minimum legal age required in your jurisdiction, possess all licences, permits, and authorizations required by applicable laws to provide transportation services, and provide accurate registration information.
3. Provider Registration
During registration, you may be required to provide: full legal name, business name (if applicable), email address, phone number, address, service areas, vehicle information, and operating routes. You agree to keep your information accurate and up to date.
4. Optional Verification
ImmediateRide encourages providers to complete profile verification by submitting documents such as: driver's licence, vehicle registration, vehicle insurance, business registration, commercial transportation permits, vehicle photographs, and profile photograph. Verification helps build trust but does not guarantee bookings or imply endorsement by ImmediateRide.
5. Provider Responsibilities
As a Ride Provider, you agree to: operate professionally, treat passengers respectfully, follow all applicable laws, maintain your vehicle in safe operating condition, honour confirmed bookings, arrive on time, keep your profile accurate, and provide truthful ride information.
6. Legal Compliance
You are solely responsible for complying with all applicable transportation laws, licensing requirements, vehicle regulations, insurance obligations, tax obligations, employment obligations, and commercial operating requirements.
7. Vehicle Standards
You agree that every vehicle used on ImmediateRide is roadworthy, properly maintained, legally registered, adequately insured where required, and meets applicable safety requirements.
8. Posting Rides
Ride postings must accurately describe: pickup location, destination, date, departure time, available seats, vehicle type, and transportation conditions. Misleading ride postings are prohibited.
9. Fair Fare Agreement
ImmediateRide supports a transparent pricing model. Passengers and ride providers mutually negotiate and agree on the transportation fare before a booking is confirmed. Providers agree not to: misrepresent pricing, demand additional transportation charges after agreement without passenger consent, or mislead passengers regarding agreed fares.
10. Booking Confirmation
A booking becomes confirmed only when both parties agree on the transportation fare, ImmediateRide validates the booking, and the passenger successfully completes secure online payment.
11. Platform Service Fee
ImmediateRide charges a clearly disclosed Platform Service Fee for operating and maintaining the marketplace. The Platform Service Fee supports: booking technology, payment processing, customer support, GPS services, safety systems, communication tools, and marketplace operations.
12. Payments & Payouts
Providers receive payment only after ride completion, completion confirmation, and successful payment verification. ImmediateRide generally releases provider payouts within forty-eight (48) hours after ride completion unless: a dispute exists, fraud is suspected, payment verification is incomplete, or a chargeback is initiated.
13. Cancellation Responsibilities
Providers should honour confirmed bookings. Repeated cancellations without reasonable justification may result in: reduced visibility, lower provider rating, temporary suspension, or permanent account termination.
14. No-Shows
Providers must arrive at the agreed pickup location within a reasonable timeframe. Failure to attend without reasonable explanation may affect provider ratings, result in refunds to passengers, and trigger account review.
15. Communication Rules
All booking communication must remain within ImmediateRide. Providers agree not to encourage: off-platform bookings, cash payments, direct payment requests, or sharing of private contact details intended to bypass the platform.
16. Passenger Privacy
Providers agree to respect passenger privacy. Providers must not: misuse passenger information, share passenger information, contact passengers for unrelated purposes, or retain personal information beyond what is reasonably necessary.
17. Professional Conduct
Providers agree to: be respectful, communicate professionally, avoid harassment, avoid discrimination, avoid abusive behaviour, and respect cultural diversity. For the complete rules governing platform use, please read the Acceptable Use Policy.
18. Safety Responsibilities
Providers are responsible for: safe driving, following traffic laws, maintaining a safe vehicle, using appropriate child restraints where required, and complying with transportation safety regulations.
19. GPS Tracking
Providers acknowledge that GPS technology may be used to: verify ride progress, confirm ride completion, improve safety, and investigate disputes. GPS data may become part of booking records.
20. Reviews
Passengers may review providers following completed rides. Providers may also review passengers. Providers agree not to manipulate or falsify review systems.
21. Insurance
Providers are solely responsible for maintaining any insurance required by law. ImmediateRide does not provide transportation insurance unless expressly stated.
22. Taxes
Providers remain solely responsible for: income taxes, sales taxes, GST/HST/VAT obligations, business reporting, and other applicable taxes. ImmediateRide does not provide tax advice.
23. Independent Contractor Status
Nothing in this Agreement creates employment, partnership, agency, or joint venture between ImmediateRide and any Ride Provider. Providers operate independently.
24. Fraud Prevention
Providers agree not to engage in: fake bookings, false ride completion, identity fraud, payment fraud, rating manipulation, or booking manipulation. Violations may result in immediate account termination and, where appropriate, referral to law enforcement.
25. Suspension & Termination
ImmediateRide may suspend or terminate provider accounts for reasons including: fraud, safety concerns, policy violations, misconduct, false information, illegal activities, or abuse of the platform.
26. Limitation of Liability
ImmediateRide provides the technology marketplace only. To the maximum extent permitted by law, ImmediateRide is not liable for: actions of passengers, provider operational decisions, vehicle condition, traffic delays, road conditions, personal injuries, property damage, or indirect, incidental, or consequential losses arising from transportation services.
27. Changes to this Agreement
ImmediateRide may update this Agreement from time to time. Material changes will be posted on this page. Continued use of the platform after changes become effective constitutes acceptance of the revised Agreement.
